1. Warranty Duration

Simpleway Europe a.s., a company incorporated and existing under the laws of the Czech Republic, with its registered office at Na okraji 335/42, Veleslavin, 162 00 Prague 6, Czech Republic, ID No.: 04377028, registered in the Commercial Register at the Municipal Court in Prague under File No.: B 20925 ("Simpleway") warrants its nnounce hardware products against defects in materials and workmanship for the periods set out below, measured from the Warranty Commencement Date as defined in Section 2.

Extended warranty options are available at an additional fee and must be purchased at the time of the original transaction.

2. Warranty Commencement Date

The warranty period begins on whichever of the following dates occurs earlier:

• The date of original purchase by the end-user from Simpleway or an authorized Simpleway reseller, or
• Three (3) months after the date of shipment of the product from the Simpleway facility to an authorized Simpleway reseller.

Proof of purchase is required to establish the Warranty Commencement Date. In the absence of a verifiable proof of purchase, the warranty period will be calculated from the date of shipment from Simpleway's facility, as recorded in Simpleway's internal systems.

3. Extended Warranty

Simpleway offers optional paid warranty extensions for eligible product categories. The following extensions are available for nnounce hardware products (base warranty: 2 years):

Extended warranty options must be selected and paid at the time of the original purchase from Simpleway or an authorized Simpleway reseller. Requests submitted after the date of original purchase will not be accepted. The extension fee is calculated on the net purchase price of the product, exclusive of shipping costs, taxes, and import duties.

4. Warranty Service

4.1 Claiming Warranty Service

To obtain warranty service, the customer must contact Simpleway or an authorized Simpleway reseller and provide:

• Proof of purchase, including the purchase date, and the name of the authorized reseller from whom the product was purchased; and
• The product serial number; and
• A clear and detailed description of the defect or malfunction.

Simpleway will issue a Return Material Authorization (RMA) number prior to accepting any product for warranty evaluation. Products returned without a valid RMA number will not be accepted and will be returned at the customer's expense.

RMA requests can be submitted directly via the Simpleway Service Desk.

4.2 Remedy

Upon confirming a covered defect, Simpleway will, at its sole discretion, choose one of the following remedies:

• Repair the defective product using new or functionally equivalent refurbished parts; or
• Replace the product with an equivalent new or refurbished unit; or
• Issue a credit or refund of the original purchase price, at Simpleway's sole discretion, if repair or replacement is not commercially reasonable.

4.3 Warranty on Repaired Products

The repaired or replaced part or product will carry a warranty of ninety (90) days from the date of shipment from Simpleway's facility, or for the remainder of the original warranty period, whichever is the longer, subject to the same terms and conditions as the original warranty.

4.4 Spare Parts and Service Availability

Simpleway will maintain availability of spare parts and repair services for nnounce hardware products for a minimum period of three (3) years from the date of discontinuation of the product line, or for the duration of the warranty period (including any extended warranty), whichever is longer. After this period, warranty service may be fulfilled by replacement with a functionally equivalent product at Simpleway's discretion.

5. Shipping

The following shipping responsibilities apply:

• Inbound shipping (customer to Simpleway): the customer bears all costs of packaging and shipping the product to Simpleway's designated service location, including customs duties and taxes where applicable.
• Outbound shipping (Simpleway to customer): Simpleway covers the cost of standard return delivery for products repaired or replaced under warranty within the territory of purchase. Expedited or non-standard shipping options are available at the customer's expense.
• For out-of-warranty service, or if a repair estimate is declined, the customer bears both inbound and outbound shipping costs.

6. Transferability

This warranty is granted solely to the original end-user purchaser and is personal in nature. It is not assignable or transferable to any subsequent owner, lessee, or user of the product.

7. Exclusions

This warranty applies only when the product is operated and maintained in accordance with the applicable product documentation. This warranty does not cover, and Simpleway shall not be liable for, any of the following:

7.1 Consumable and Limited-Life Components

Components subject to natural degradation and with a finite operational lifespan are excluded from this warranty. This includes, but is not limited to: cooling fans, electrolytic capacitors, hard disk drives (HDD), solid-state storage (SSD), and display panels.

Reaching the inherent write endurance limit of NAND flash storage (as specified by the component manufacturer) is considered normal exhaustion of the part's lifespan and does not constitute a product defect.

7.2 Normal Wear and Tear

Degradation of cosmetic or mechanical parts through ordinary use, including paint, knobs, handles, keypads, connector ports, and protective covers.

7.3 Improper Use or Operation

Damage resulting from operation outside the environmental or electrical parameters specified in the product documentation, including incorrect supply voltage, operation in excessive heat or humidity, and physical mishandling. Damage to microphones resulting from dropping, impact, moisture exposure, or other physical mishandling is not covered under this warranty.

7.4 Unauthorized Modification or Repair

Any attempt to open, modify, service, or repair the product by persons or entities not expressly authorized by Simpleway. Exception: replacement of user-serviceable components (e.g., microphones) by qualified personnel, in accordance with the product documentation, does not void the warranty.

7.5 External Causes

Damage attributable to events outside Simpleway's control, including fire, flooding, lightning, power surges or interruptions, acts of God, theft, and vandalism.

7.6 Improper Installation or Cabling

Damage caused by incorrect installation, faulty external wiring, use of non-approved or incompatible cables, or failure to follow the installation instructions provided in the product documentation.

7.7 Software and Firmware

All software and firmware distributed by Simpleway is provided "as is" and without warranty of any kind, except as expressly provided in accompanying documentation or a separate license agreement.

7.8 Third-Party Products

Products manufactured by third parties and sold or distributed by Simpleway are not covered by this warranty. Such products may carry their own manufacturer warranties.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Simpleway's liability under this warranty is limited to the remedies set out in Section 4.2. Simpleway shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue or profit, loss of data, business interruption, or third-party claims, arising out of or in connection with the use, inability to use, or failure of its products, regardless of the legal basis of the claim and regardless of whether Simpleway has been advised of the possibility of such damages. Except as expressly set forth in this warranty statement, Simpleway makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. This disclaimer is made to the maximum extent permitted by applicable law.

9. Data Handling

The customer is solely responsible for backing up and removing all data, software, and configurations from any product prior to returning it to Simpleway for warranty service. Simpleway shall not be liable for the loss, corruption, or disclosure of any data stored on returned products. Simpleway may, in the course of diagnostics, repair, or replacement, erase all data on the product without prior notice. Products returned for service may be processed by Simpleway or its authorized service partners, including those located outside the customer's country of purchase.

10. General Provisions

• No authorized dealer, distributor, reseller, or agent of Simpleway is permitted to extend, modify, or create warranties on Simpleway's behalf beyond those stated in this document. Any representations made by such parties are not binding on Simpleway.
• This warranty applies exclusively to transactions between Simpleway (or its authorized resellers) and business customers acting in the course of their trade, business, or profession (B2B). This document does not constitute a consumer warranty within the meaning of Directive (EU) 2019/771 or equivalent national legislation. If a product is purchased by a consumer, the applicable statutory consumer protection rules shall apply instead of, or in addition to, these terms. Where mandatory statutory regulations in a given jurisdiction provide warranty rights, that cannot be contractually excluded in a B2B context, exceeding those set out herein, such statutory rights take precedence over this document.
• Simpleway reserves the right to update or modify these warranty terms at any time. The terms applicable to a specific product are those published by Simpleway at the time of the original purchase of that product.
• In the event of a conflict between this warranty statement and any terms contained in an individual purchase agreement, framework agreement, or other contract between Simpleway and the customer, the terms of such individual agreement shall prevail.
• This document is governed by the laws of the Czech Republic. Any disputes arising under or in connection with this warranty shall be subject to the exclusive jurisdiction of the courts of the Czech Republic.
